Shawn Lampron advises high-growth and public companies, as well as venture and institutional investors, on a broad range of executive compensation and employee benefits matters.

Her work spans the full spectrum of equity and cash compensation arrangements, including employee stock options, restricted stock units, deferred compensation, fringe benefit programs, and employment and severance agreements. She has deep experience counseling clients through the tax and securities law issues that affect these programs, particularly in the context of startups, emerging growth companies, manufacturing, and service businesses.

Shawn partners with boards, compensation committees, and executive teams to develop and implement compensation strategies that support business goals and meet regulatory requirements. She regularly negotiates and prepares incentive, employment, and severance arrangements for both companies and executives, and provides practical guidance on equity and benefits matters in IPOs, M&A, and other strategic transactions. Her work spans a range of industries, with a focus on fintech, software, artificial intelligence and machine learning, and healthtech.

  • Structuring and drafting equity plans and arrangements
  • Drafting executive employment, non-competition, severance and change of control agreements
  • Advising on complex 162(m) tax deduction, 409A deferred compensation and 280G parachute payment issues
  • Due diligence on corporate transactions (particularly in M&A)
  • Representing chief executive officers in negotiating and structuring executive employment, non-competition, severance and change of control arrangements
  • SEC no-action letter regarding pre-public company restricted stock units
